Terms of Service

1. Acceptance and scope

These Terms of Service govern access to and use of the Unpaved website and services. By accessing the website or using the services, you agree to these terms.

If you are using the services on behalf of an organization, you represent that you are authorized to bind that organization to these terms.

2. Services and commercial documents

Unpaved provides software, workflow mapping, AI-led interview tooling, analysis outputs, and related services designed to help organizations understand operational reality and prioritize AI transformation.

Certain commercial terms, including pricing, scope, support commitments, implementation details, and service-specific obligations, may be set out in an order form, proposal, statement of work, or other signed agreement. Those commercial documents supplement these terms.

3. Customer responsibilities

Customers are responsible for ensuring that they have the necessary rights, permissions, notices, and lawful bases to submit data to Unpaved and to instruct Unpaved to process that data.

Customers are also responsible for managing internal rollout, use of outputs, change management, and decisions based on recommendations produced through the services.

4. Acceptable use

You may not use the website or services to violate applicable law, infringe the rights of others, interfere with platform security, attempt unauthorized access, reverse engineer the services except where such restriction is prohibited by law, or use the services to develop a competing product using non-public aspects of the platform.

You may not upload or transmit malicious code, attempt to disrupt system performance, or use the services in a way that could compromise the confidentiality, integrity, or availability of the platform or other customers' data.

5. Customer data and service outputs

As between the parties, the customer retains all rights in customer data submitted to the services. The customer also retains rights in its business materials, internal records, and other content it provides to Unpaved.

Subject to payment of applicable fees and compliance with these terms, Unpaved grants the customer a limited right to use service outputs generated for the customer in connection with the services for the customer's internal business purposes.

6. Unpaved intellectual property

Unpaved and its licensors retain all rights, title, and interest in the website, services, software, models, prompts, workflows, interfaces, documentation, branding, and other platform materials, together with any updates, improvements, and derivative works of those materials.

No rights are granted except as expressly stated in these terms or in another written agreement between the parties.

7. Feedback

If you provide feedback, suggestions, or ideas regarding the website or services, Unpaved may use that feedback without restriction or obligation, provided that doing so does not identify you or disclose your confidential information except as permitted by law or agreement.

8. Confidentiality

Each party may receive confidential information from the other in connection with the services. The receiving party will use the disclosing party's confidential information only as necessary to perform under the agreement and will protect it using reasonable care.

Confidential information does not include information that is or becomes public without breach, was already lawfully known, is independently developed without use of the disclosing party's confidential information, or is lawfully received from a third party without restriction.

9. Suspension and termination

Unpaved may suspend access to the services if reasonably necessary to prevent harm, address security risks, comply with law, or stop material misuse of the platform.

Either party may terminate the agreement in accordance with any applicable order form or, if no such provision exists, for material breach that remains uncured after reasonable notice. Upon termination, rights to use the services end except as otherwise stated in the agreement.

10. Disclaimers

Except as expressly stated in a written agreement, the website and services are provided on an as available and as is basis. To the maximum extent permitted by law, Unpaved disclaims implied warranties including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

Unpaved does not guarantee that the services will be uninterrupted, error-free, or suitable for every use case, or that recommendations generated through the services should be followed without customer judgment and business review.

11. Limitation of liability

To the maximum extent permitted by law, neither party will be liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenues, goodwill, or anticipated savings arising out of or in connection with the website or services.

Except for liability that cannot be limited by law, each party's aggregate liability arising out of or relating to the services will not exceed the amounts paid or payable by the customer to Unpaved under the applicable agreement during the twelve months preceding the event giving rise to the claim.

12. Changes to the services or terms

Unpaved may update the website, services, or these terms from time to time. If we make a material change to these terms, we may provide notice by posting the updated version on the website or through another reasonable method.

Continued use of the website or services after the effective date of updated terms constitutes acceptance of the revised terms.

13. Governing law and contact

Unless otherwise agreed in writing, these terms are governed by the laws of England and Wales, without regard to conflict of law principles.
